Our Non Disclosure Agreements

To put your mind at rest here is a general idea of our NDA Agreement.

A Mutual Non-Disclosure Agreement would be made between:

A: The Client

B: Express Cloud Limited


The Receiver would agree to maintain as confidential and not use any Confidential Information save for the Permitted Purpose until the parties enter a formal binding agreement containing specific provisions as to disclosure and confidentiality which expressly supersedes the previous Agreement.

When the Permitted Purpose is complete, or upon demand by the Disclose, the Receiver will: return to the Disclosure any and all documents, destroy in a secure manner all other documents including documents stored in digital form and then confirm in writing to the Disclosure that this is complete and that no copies have been made or retained.

The Agreement will be governed by the laws of England & Wales, whose courts shall have sole jurisdiction in relation to all matters arising thereof.


The Receiver – the party receiving the Confidential Information i.e. Express Cloud Limited

The Disclosure – the party disclosing the Confidential Information i.e. Our Client

Confidential Information – means any information which is proprietary to the Disclosure is confidential and is treated as such b by the Disclosure  and is not in the public domain. This information may be provided on any media or in any tangible form or disclosed orally or by demonstration.

Permitted Purpose – will be to enable all parties to engage in a business arrangement  where: Express Cloud enter a contractual agreement , whereby Express Cloud undertake to treat as strictly confidential all information exchanged between them and the Client with respect to Client Information, data related to the Client’s processes or their project work.
